Drew H. Peterson

Drew Peterson is an associate in the Global Finance & Debt Products Group. He focuses his practice on mortgage-backed and asset-backed securitization.

Drew received his J.D. in 2003 from George Mason University and his B.A. in history in 2000 from Grove City College. He is a member of the Commercial Mortgage Securities Association and a participant in the Mecklenburg County Bar Association Lunch with a Lawyer Program. Drew is admitted to practice in North Carolina.

Representative Experience

  • Experience in securitization transactions incorporating REMIC, grantor trust and partnership tax structures, the use of derivatives and insurance, and the use of warehousing arrangements and funding facilities.
  • Represented major financial institutions as trustee, securities administrator, master servicer and custodian in closing numerous public and private residential mortgage-backed securitization transactions.
  • Represented major financial institution as master servicer in connection with the bankruptcy of several servicers on various residential mortgage-backed securitization transactions.
  • Represented major financial institutions in various types of disputes involving the administration of previously closed securitization transactions and servicing transfer issues.
  • Represented major financial institutions as trustee in restructuring securitization transactions to resolve merger-related conflicts related to ERISA and the Investment Company Act of 1940.
  • Represented major financial institutions as trustee in connection with the bankruptcy of several servicers and mortgage loan originators on a multitude of residential mortgage-backed securitization transactions.
  • Represented major financial institution as securities intermediary in over 100 commercial mortgage loan defeasances.
  • Represented custodians in mortgage-loan warehousing and other custodial arrangements.
  • Represented trustee in numerous net interest margin and other asset-backed securitization transactions.
  • Represented trustee in a municipal financing transaction.
  • Regularly advise major financial institutions on SEC regulatory compliance issues, including those related to the Sarbanes-Oxley Act, Regulation AB and reporting requirements under the Securities Exchange Act of 1934.
