Structured Finance
Our attorneys have been active in the asset-backed and structured finance markets since the early 1980s when these financing methods began their explosive growth. As a result, we offer an impressive depth and breadth of expertise based on years of work with our clients as this market grew and developed. Our structured finance attorneys represent leading participants in the asset backed and structured finance markets, including many of the most active issuers, originator/servicers, fund managers, investors and insurers. We have participated in hundreds of transactions and have extensive experience in structuring and closing deals with unusually complex structures in a wide variety of asset classes.
The securitization practice is, by its nature, highly interdisciplinary and requires the ability to assemble teams with a variety of legal skills. Our attorneys possess the necessary expertise in the areas of commercial law, securities law, UCC, tax and ERISA, bankruptcy and insolvency and derivatives, and have years of experience in working together on asset-backed and structured finance transactions.
EXPERIENCE
On the regulatory front, we assist clients in complying with the disclosure and reporting requirements of Regulation AB, including establishment of best practices for ongoing compliance as originators and servicers. We also assist clients in analyzing and structuring transactions and investments with respect to FASB FAS 140 and FIN 46R to achieve sale treatment and expected financial statement consolidation treatment.
We also represent clients in connection with commercial litigation arising out of structured finance transactions, including litigation against governmental agencies and regulatory bodies such as the Federal Deposit Insurance Corporation. Further, we assist participants in transactions in connection with all aspects of workouts of securitization transactions and bankruptcies of parties to transactions.

Our leadership includes members of the American Securitization Forum’s Outside Counsel Working Group, the former president of the Commercial Mortgage Securities Association, members of the ISDA Credit Derivatives Market Practice Committee and its Asset Backed Securities Subcommittee, and a member of the Structured Finance Committee of the Association of the Bar of the City of New York.
