Lee Rimler is a member of the Corporate Transactions & Securities Group. He concentrates his practice on mergers and acquisitions, transactional tax planning, limited liability companies, partnerships and general corporate matters.
Over the past several years, Lee has led and assisted with numerous private equity, LBO and venture capital transactions. He has developed an expertise in drafting and negotiating limited liability company and partnership agreements with a particular focus on the use of such vehicles in acquisition settings, structuring management compensation and maximizing tax benefits. Lee has significant experience in representing private equity sponsors and owners in today’s competitive auction process.
Lee received his J.D. in 1994 from the College of William and Mary. He also holds an M.S. in taxation from Villanova University and a B.S. in business administration from Virginia Commonwealth University with a concentration in accounting. He is admitted to practice law in North Carolina and Virginia, and previously worked as a Certified Public Accountant.
- Represented a private equity sponsor in the acquisition of the international designer, manufacturer and marketer of pellet, BB, soft-air rifles and pistols.
- Represented a private equity sponsor in the acquisition of two independent trade show companies in simultaneous closing in a transaction valued at over $300 million, including $30 million of subordinated debt.
- Represented management in formation of pathology and diagnostic business with private equity sponsorship.
- Represented a private equity sponsor in the sale of a media services company, as well as the company’s previous roll-up acquisitions.

Alston & Bird served as legal advisors for client ALI Group in its successful acquisition of Scotsman Industries, the largest commercial ice machine company in the world, from an affiliate of Warburg Pincus.
