John Latham is a member of the firm’s Securities Litigation and Corporate Transactions and Securities Groups. He counsels numerous public companies on corporate governance and disclosure matters and represents issuers, officers, directors and accountants in securities disputes.
John has served as special counsel to a number of public companies in connection with special investigations and SLC reviews. These engagements have involved a variety of issues ranging from alleged insider trading, financial irregularities and option dating. He has represented clients in a variety of regulatory matters, including proceedings involving the Securities and Exchange Commission, the New York Stock Exchange, the New York State Attorney General, the Justice Department and various banking regulators. John has also served as an expert witness in both civil and criminal federal securities actions. In addition, he has been appointed Special Assistant Attorney General, State of Georgia Teachers and Employees Retirement Fund and Office of Treasury and Fiscal Services (1998 – present) (securities matters); and is Chairman of the Georgia Corporate Code Revision Subcommittee on Officer And Director Liability and Indemnification (2003 – present).
