Kevin Miller, a partner in the firm’s Corporate Transactions & Securities Group and the head of the firm’s Financial Advisor’s Practice, was quoted in The Wall Street Journal in an article discussing a recent post trial decision by Vice Chancellor Laster of the Delaware Court of Chancery in a shareholder suit relating to the acquisition of Rural/Metro Corporation by an affiliate of Warburg Pincus LLC. In the decision, Vice Chancellor Laster held RBC Capital Markets, LLC, one of Rural/Metro’s financial advisors, liable for aiding and abetting breaches of fiduciary duty by Rural/Metro’s board of directors.
“If the decision is upheld, investment banks will have to change how they do deals,” Miller said.
