Lisa Byun Forman

Senior Associate


Lisa Forman is a senior associate in the Global Finance & Debt Products Group. Her practice focuses on mortgage-backed and asset-backed securitization, where she has represented major financial institutions in their roles as trustee, master servicer and securities administrator. She also has experience in commercial real estate finance, commercial loan origination, and commercial loan portfolio servicing. Recently, she has counseled clients with transactional, bankruptcy and other litigation issues relating to the financial markets crisis and the resulting contraction of the global capital markets.

Lisa received her J.D., cum laude, in 2006 from The University of North Carolina at Chapel Hill, where she was a member of the North Carolina Law Review. She received her B.A., cum laude, in 2000 in music and American studies from Skidmore College, where was a Filene Music Scholar.

Representative Experience

  • Represented major financial institutions as master servicer and trustee in connection with the bankruptcies of servicers and mortgage loan sellers on various residential mortgage-backed securitization transactions.
  • Represented major financial institutions as trustee or securities administrator in commercial mortgage-backed and residential mortgage-backed securitization transactions.
  • Represented major financial institutions as master servicer in closing numerous public and private residential mortgage-backed securitizations.
  • Regularly advises major financial institutions on SEC regulatory compliance issues, including those related to the Sarbanes-Oxley Act, Regulation AB and reporting requirements under the Securities Exchange Act of 1934.
  • Represented major financial institutions in restructuring commercial and residential mortgage-backed securitizations to avoid conflicts related to ERISA and the Investment Company Act of 1940.
  • Represented major financial institutions in various types of disputes and litigation involving the administration of previously closed securitization transactions.
  • Experience in securitization transactions incorporating REMIC, grantor trust and partnership tax structures, the use of derivatives and insurance, and the use of warehousing arrangements and funding facilities.
  • Experience in representing master servicers of senior and subordinate debt in connection with loan assumptions, corporate transfers and borrower restructurings of commercial loans.
  • Experience in representing commercial banks in connection with the origination, securitization and servicing of conduit and sizable loans secured by various types of commercial properties.
