Gary Roth is a partner in the Firm's Global Finance & Debt Products Group, and leads our Structured Finance and Securitization practice. He represents financial institutions, issuers, investors, insurers and rating agencies in a wide variety of finance transactions, including syndicated lending, restructurings, and public and private offerings of asset-backed securities. His experience includes collateralized loan obligations and warehouse financings involving a wide variety of assets, including auto loans, boat loans, credit card receivables, corporate loans, commercial and residential mortgages, dealer floor plan loans, home equity loans, insurance premium finance loans, manufactured housing loans, military housing loans, time share loans and trade receivables.
Gary counsels clients with respect to the Dodd-Frank Wall Street Reform and Consumer Protection Act and the SEC's proposal for sweeping changes to Regulation AB (Reg AB II), which governs registered offerings of asset-backed securities.
Gary is co-chair of the American Securitization Forum's Outside Counsel Sub-Forum and is recognized in Best Lawyers in America in the area of structured finance

- Represents an issuer of health care receivables backed bonds in connection with the replacement of credit enhancers involving a bond re-issuance.
- Represents a prominent Japanese financial institution as an investor in structured debt products.
- Securitization counsel to a U.S. finance subsidiary of a global automobile manufacturer in issuances of registered securitizations of auto loans.
- Issuer’s counsel to a U.S. finance subsidiary of a global automobile manufacturer in issuances of medium term notes in the United States and Europe.
- Represents the U.S. branch of a Japanese financial institution in connection with an insured secondary market investment program.
- Represents an originator-servicer with respect to an innovative securitization program for U.S. and international trade receivables.
- Counsels numerous active hedge funds, including funds investing in alternative investment opportunities, including CDO warehouse facilities, film and other entertainment assets.
- Represents a leading insurance premium finance lender as a seller-servicer in a precedent-setting securitization of life insurance premium finance loans.
- Represents a prominent national bank as indenture trustee, and a leading financial guaranty insurance company in separate workouts of credit card receivables-backed securities transactions.
- Represents monoline financial guarantors in primary and secondary market wraps of CLO and CDO issuances.
- Represents a major property casualty insurance company in connection with its catastrophe bond reinsurance program.
- Represents a prominent national residential mortgage originator as an originator-servicer in an innovative private label residential mortgage warehouse repurchase facility funded through medium-term notes and commercial paper.
