James Sullivan focuses his practice on advising institutional investors and private investment fund sponsors that represent a wide variety of fund structures and asset classes. Mr. Sullivan has significant experience in representing buyout funds in their investment and acquisition activity, including investments in and acquisitions of portfolio companies, debt and equity capital raising initiatives, recapitalizations and sponsor exit transactions.
Mr. Sullivan also counsels public and private companies (including companies controlled by private investment funds) in a variety of corporate transactions, including strategic acquisitions and divestures, equity and debt financings and other complex business transactions.
- Counsel to state pension plans and other institutional investors in connection with investments in various private equity, real estate and hedge funds.
- Represented a New York-based private equity firm in its growth equity investment in a solar energy development company.
- Represented an energy and power-focused private equity firm in its financing and acquisition of seven gas-fired power generation plants in the northeastern United States.
- Represented an energy and power-focused private equity firm in the restructuring of its debt and equity investments in an ethanol production facility based in Ontario, Canada.
- Counsel to a Japanese financial institution in connection with certain U.S. equity and debt investments.
- Counsel to a European private equity firm in connection with various equity investments in the United States.
