Jonathan Polking is a senior associate in the Global Finance & Debt Products Group. His practice focuses on finance, securitization, capital markets and corporate-related matters. Jonathan has represented a number of global financial institutions as trustee, master servicer, paying agent, custodian, issuer and in various other capacities in negotiating and closing hundreds of mortgage-backed and asset-backed securitization transactions and CDO transactions. He continues to represent clients in closing such transactions. He also counsels clients with the ongoing administration of securitization transactions, including in connection with contractual, transactional, regulatory, bankruptcy and litigation issues often related to the financial markets crisis and the resulting contraction of the global capital markets. Jonathan also represents financial institutions and private equity companies in connection with various other financing arrangements and mergers and acquisitions.
He is the treasurer of the Saint Thomas More Society, Inc., a member of the Notre Dame Club of Charlotte and an active participant in the Mecklenburg County Bar Association Lunch with a Lawyer Program.
- Represented major financial institutions as a trustee, Delaware trustee, securities administrator, paying agent, master servicer and custodian in closing numerous public and private residential and commercial mortgage-backed securitization transactions and collateralized debt obligation transactions.
- Represented major financial institutions as a trustee, Delaware trustee, securities administrator, paying agent, master servicer and custodian in closing numerous public and private asset-backed securitization transactions, including net interest margin securitization transactions, home equity line of credit securitization transactions, advance funding facility securitization transactions, and re-securitization transactions.
- Represented major banks and other public and private companies as a trade credit agent, escrow agent, paying agent and disbursing agent in connection with trade credit facilities, merger and acquisition transactions and bankruptcy reorganizations.
- Represented private companies as a borrower and servicer and represented Delaware trusts in titling trust financing transactions.
- Represented major financial institutions as a trustee in the liquidation and sale of collateral in connection with collateralized debt obligation transactions.
- Represented a major financial institution as an issuer in closing numerous governmental mortgage-backed securities programs.
- Represented a major financial institution as a securities intermediary in closing numerous commercial mortgage loan defeasance transactions.
- Represented a major financial institution as a trustee in closing numerous corporate bond offerings.
- Represented major financial institutions in connection with warehousing arrangements, funding facilities and servicing transfers.
- Represented major financial institutions as a trustee in restructuring securitization transactions to resolve merger-related conflicts related to ERISA and the Investment Company Act of 1940.
- Regularly advise major financial institutions in complying with federal securities laws, rules and regulations, including the Securities Act of 1933, the Securities and Exchange Act of 1934, ERISA, the Investment Company Act of 1940, the Trust Indenture Act of 1940, Sarbanes-Oxley, Dodd-Frank and Regulation AB.
- Represented a major financial institution as a trustee in connection with the bankruptcy of several servicers and mortgage loan originators on various residential mortgage-backed securitization transactions.
