Kevin Gooch is a senior associate in the Global Finance & Debt Products Group, and his practice focuses on (i) representing both financial institutions and corporate borrowers in a variety of corporate finance transactions, including syndicated credit facilities, acquisition financings, notes offerings, and various asset-based financings; and (ii) navigating Article 9 of the Uniform Commercial Code to perfect and maintain the liens and security interests granted to his clients in connection with such corporate finance transactions. Over the course of the last three years, Kevin has developed expertise in restructuring finance transactions by helping numerous clients modify the terms of existing financing transactions. During his career at Alston & Bird LLP, Kevin has worked on more than $10 Billion in financing transactions.
Kevin is a member of the American Bar Association, Gate City Bar Association, Georgia Bar Association, Atlanta Bar Association, Atlanta Urban League Young Professionals, and Emerging 100 of Atlanta. Kevin was also a member of the 2013 Class of LEAD Atlanta. Additionally, he has served on the Board of Visitors of the University of Georgia School of Law (as the youngest member) and Board of Counselors of Oxford College of Emory University.
- Represented a publicly-traded borrower in the refinancing of a secured, syndicated $2.0 billion credit facility consisting of a term loan and revolving credit facility.
- Represented a publicly-traded borrower in a secured, syndicated $1.2 billion incremental term credit facility and $100 million increase of its $300 million revolving credit facility.
- Represented a lender in the consolidation and restructuring of numerous credit facilities for a variety of borrowers totaling approximately $600 million.
- Represented the administrative agent/lender in a $700 million secured credit facility to a cable television provider.
- Represented the administrative agent/lender in a $700 million unsecured credit facility to a publicly-traded REIT.
- Represented one of world's leading beauty supply companies in obtaining a $400 million secured credit facility and issuing over $1.4 billion of senior notes.
- Represented the administrative agent/lender in multiple acquisition financing transactions in connection with the consolidation of multiple sports agencies with player contracts totaling over $1.0 billion.
- Represented a lender in multiple secured financings related to the purchase of approximately $150 million of distressed assets.
- Represented one of the world’s largest private equity firms in an acquisition financing transaction totaling more than $200 million and secured by all assets of a portfolio company.
- Represented multiple portfolio companies of a private equity firm in two acquisition financing transactions totaling $203.25 million and secured by all assets of the borrowers.
- Represented the administrative agent/lender in an up to $160 million secured credit facility for a consumer products company.
- Represented a borrower in an acquisition financing with first and second lien lenders totaling approximately $125 million, to acquire more than 25 dialysis treatment centers throughout the United States.
- Represented a portfolio company of one of the world’s largest private equity firms in obtaining a $20 million revolving credit facility secured by all assets of the portfolio company.
- Represented the administrative agent/lender in a $70 million secured loan to a casual dining restaurant chain to fund a dividend recapitalization and working capital revolver.
- Represented a media company in multiple secured financing transactions totaling more than $55 million.
- Assisted with the merger of a publicly-traded biotech company into a privately held corporation.
- Counsel to Fortune 100 companies in numerous internal investigations and comprehensive reviews of their corporate compliance systems.
