Michael Vines concentrates his practice on commercial real estate finance and has represented banks and other institutional investors on a variety of loan transactions throughout the United States. Mr. Vines primarily focuses in the origination of commercial loans for capital market, syndicate and balance sheet lenders and in the purchase and sale of mortgage and subordinated debt, including the negotiation of intercreditor, participation and co-lender agreements. Mr. Vines has represented an assortment of clients in connection with loan restructurings, discounted pay-offs, deed-in-lieu transactions and foreclosures. He also has extensive experience in land use, development, construction and zoning matters.
In 2004, Mr. Vines received his J.D. from Columbia University School of Law. He received his B.A. in history, cum laude, from the University of California, Los Angeles in 2000.
- Counsel to the lead lender on a $222 million construction loan financing for the development of a residential condominium building located in the heart of Manhattan’s theater district, including review of zoning lot development agreements, transfers of 421-a tax credits and transfers of development rights.
- Counsel to a financial institution in connection with the $99 million financing of a 600,000 square foot commercial shopping center located in Pennsylvania.
- Counsel to a national bank on a $82 million refinancing of an entertainment/retail facility located in Times Square, Manhattan.
- Counsel to a national bank on a $99 million loan secured by a shopping center located in Little Rock, Arkansas.
- Counsel to the lead lender on a $355 million syndicated loan secured by an office and commercial space located in Midtown Manhattan.
- Counsel to the lead lender on a $350 million syndicated loan financing secured by a single tenant office building located in Bellevue, Washington.
- Counsel to the lead lender on a $105 million loan secured by office and industrial complexes in Arizona, Illinois and Texas.
- Counsel to an investment fund in connection with a $15 million mezzanine loan secured by a pledge of 100-percent indirect interest in the owner of a first class office building located in San Diego, California.
- Counsel to an investment fund in connection with a $35 million loan secured by a pledge of 49-percent indirect interest in the owner of a first class office park located in Sunnyvale, California.
- Counsel to a financial institution in connection with the sale of a $130 million A Note and the transfer of administrative agent obligations with respect to a first mortgage loan on a recently developed retail center located in Sunnyvale, California.
- Counsel to a financial institution in connection with the sale of a $22.5 million loan secured by a franchised hotel located in Charlotte, North Carolina.
- Counsel to a financial institution in connection with the workout and modification of a $176.5 million construction loan secured by a first class hotel and residential condominium project in Atlanta, Georgia. Later represented the client in connection of the sale of the same loan to a private investment fund.
- Counsel to a special servicer in connection with the workout and eventual foreclosure of a mortgage loan secured by undeveloped land in Kiahuna, Hawaii.
- Counsel to a distressed asset vehicle in connection with the restructure of a $35 million construction loan on a retail shopping center and self-storage facility in Pelham, New York.
- Counsel to a property owner in connection with the restructure of a defaulted $78 million mortgage loan secured by an office building located in Midtown Manhattan.
- Counsel to a developer in connection with the delivery of a deed-in-lieu of foreclosure and the full release of guarantor liability with respect to $34 million loan secured by an office building in San Mateo, California.
- Counsel to a developer in connection with the workout and restructuring of a $376 million credit facility with respect to an entertainment/retail development complex located in Glendale, Arizona.
