Susan Wilson is a partner in the Corporate Transactions & Securities Group. She advises public and private companies on corporate governance matters and significant business transactions, including mergers, acquisitions, joint ventures and commercial agreements. She represents companies in a variety of industries, with particular expertise in the insurance industry. She has extensive experience in the financial and regulatory aspects of transactions involving insurers and related entities, including all types of reinsurance transactions.
- Counsel in a number of large and complex insurance transactions, including the representation of a Fortune 500 insurance group in the sale of its asset accumulation business, with more than $10 billion of assets under management, involving the separate sales of stock and assets, indemnity coinsurance and modified coinsurance.
- Counsel in the demutualization and merger of a mutual P&C insurer, and the demutualization and IPO of a worker's compensation self-insurance fund.
- Counsel in public and private business combinations and joint ventures involving a variety of other industries, such as the sale of a real estate broker to a major publicly traded investment firm, the sale of a commercial roofing company to a publicly traded company, and the acquisition by a public company of a commercial design and construction firm.
