Alston & Bird held the fifth teleseminar in its six-part series on the Dodd-Frank Wall Street Reform and Consumer Protection Act on Wednesday, November 10, 1pm-2pm. This series offered a more focused treatment of specific Dodd-Frank reforms, as well as a more practical look at how the reforms may require changes in business operations.
The panelists in the fifth session, Gary Roth and Evan Drutman, both of whom are members of Alston & Bird's Global Finance and Securitization Practices, discussed several recent aspects of Rating Agency Reform, including the enactment of Rule 17g-5 and its disclosure and communication implications, and the rating agency provisions of the Dodd-Frank Act and its impact on related accountability and liability. The following topics were addressed during the program.
- Rating Agency and Sponsor website disclosures,
- Representations required to be delivered to Rating Agencies by Sponsors,
- Repeal of liability exemptions for Rating Agencies,
- Expansion of private rights of action against Rating Agencies, and
- Expanded corporate governance and SEC scrutiny.
