• Represented a large biotechnology company in its $250 million public offering of common stock.
• Represented a clinical-stage biopharmaceutical company in its underwritten public offering of 45 million shares of its common stock.
• Advised a nationwide post-acute care partner for hospitals, physicians, and families in a securities class action.
• Represented one of the nation's largest providers of post-acute health care services in its issuance of two tranches of senior secured notes.
• Advised a U.S. operator of health care facilities in equity and debt financing transactions.
• Represented a global medical technology company in a complex, tax-advantaged, multijurisdictional recapitalization and multibillion-dollar debt restructuring.
• Served as counsel to the spinoff company, a medical technology manufacturer, in the spinoff of Kimberly-Clark Corporation’s health care business. The spinoff required a complex restructuring of Kimberly-Clark’s health care business and involved a significant debt financing and related cash distribution to Kimberly-Clark.
• Represented a Florida medical distributor in its $2.1 billion acquisition by McKesson. In the deal, McKesson paid the acquired company’s shareholders $29 per share in cash, a 34 percent premium over the closing price of its stock the day before the public announcement. The cash consideration covered about $1.46 billion of the total purchase price, with the rest representing assumed debt.
