Shawn Baldwin’s practice focuses on strategic corporate transactions, including mergers and acquisitions, corporate technology law, and outsourcing, with a primary focus in the technology and energy industries. He has extensive experience in representing clients engaged in complex and strategic transactions such as the creation, maintenance and dissolution of international joint ventures and strategic alliances, and representing clients in targeted strategic mergers, acquisitions and other general corporate matters.
Mr. Baldwin has represented and counseled clients in structuring, funding, negotiating and documenting joint ventures located in the United States and numerous international jurisdictions. He has also represented clients in large business process and information technology outsourcing arrangements with aggregate contract value in the billions of dollars, many with international components. He has negotiated domestic, near-shore and off-shore outsourced service contracts for information technology, human resources, finance and accounting, logistics, call center and other business processes. He has represented clients in dozens of information technology transactions, including software and intellectual property development, licensing and implementation, hosted service arrangements, and systems procurement and integration.
