Steven L. Pottle

Steve Pottle is chair of the firm’s Health Care Group, which includes teams of corporate, FDA, health policy and health care compliance lawyers and other professionals. He has also chaired the firm’s Life Sciences Task Force and co-chaired the firm’s Technology Group.

Mr. Pottle focuses his practice on a wide range of corporate and securities matters, such as mergers and acquisitions, public and private securities offerings, joint ventures, formation transactions and advising boards of directors. His clients include public and private companies and financial sponsors and advisors. Steve is listed in The Best Lawyers of America, Chambers USA: America’s Leading Lawyers for Business, “Top Legal Deal Makers” in Atlanta Business Chronicle and Super Lawyers magazine. Steve is a member of the American Health Lawyers Association and the Georgia and Atlanta Bar Associations.

He received a J.D. from Vanderbilt University School of Law, where he was a member of the Vanderbilt Law Review. He received a B.A. in business administration and accounting from the University of Washington and attended foreign study programs in Tokyo, Japan and London, England. He has also passed the CPA exam and was a professional with Ernst & Young prior to law school.

  • Counsel to several Nashville-based diversified health care provider companies in numerous formation, financing, acquisition and restructuring transactions.
  • Counsel to one of the largest for-profit hospital chains in the disposition of a health care system to a premier academic medical institution.
  • Counsel to European-based medical device company in $750 million acquisition of the cardiac and vascular surgery division of Boston Scientific and in the $865 million tender offer for a U.S. publicly-traded medical device company.
  • Counsel to specialty pharmacy company in initial and follow-on public offerings, numerous acquisitions and governance matters and eventual sale for $2.5 billion.
  • Company counsel in initial and follow-on public offerings of home health care company.
  • Counsel to large dialysis chain in unique roll-up formation, initial and follow-on offerings, numerous acquisitions and governance matters and eventual sale for $4 billion.
  • Underwriter counsel in initial and follow-on public offerings of specialty pharmacy company.
  • Counsel to financial advisor in sale of home health company.
  • Counsel to major academic medical center in a hospital joint venture with one of the largest for-profit hospital chains.
  • Counsel to one of the largest for-profit hospital chains in the disposition of a network of hospitals.
  • Counsel to health care information technology company in spin-out from a major academic medical center and venture capital financing.
