Our Fall Roundtable, co-sponsored with KPMG LLP, was titled How it All Fits Together: Audit Committee Communications and Coordination with the Board and Other Committees. We refered to the recent publicity surrounding stock option backdating and, more generally, executive compensation, highlights the need for audit committees and other board committees to better align and coordinate their oversight activities in those areas in which their responsibilities may overlap. Indeed, given the financial reporting implications of various business, finance, and regulatory activities that are overseen by different or multiple board committees a clear understanding of how various oversight activities "fit together" is essential to an effective oversight process. This is particularly true as boards are delegating more oversight responsibilities to board committees that can undertake a more intensive review of the activity or issue than the full board could.
