Ryan Wheeler

• Assisted a foreign institutional investor by analyzing various scenarios for exiting its investment in U.S. infrastructure assets.
• Advised a large institutional investor on structuring its $290 million acquisition of a U.S.-based software developer to manage dual consolidated loss recapture and optimize future exit value. 

Ryan Wheeler is a senior associate in the Federal & International Tax Group. He focuses his practice on transactional tax planning and structuring issues for a both domestic and international businesses, private equity, and institutions. He advises clients on the tax complexities of mergers and acquisitions, restructurings, entity formations, divestitures, workouts, and other multifaceted transactions. 

Before joining Alston & Bird, Ryan was a manager in the mergers and acquisitions tax practice for KPMG. Ryan received an LL.M in taxation from the New York University School of Law. He earned his J.D., cum laude, from the University of South Carolina School of Law, where he served as an articles editor for the ABA Real Property, Trust, and Estate Law Journal. He was also a law clerk for the South Carolina Department of Labor, Licensing, and Regulation. Ryan received a B.A. in economics from the University of South Carolina.
