Alston & Bird Assists with $2.1 Billion Medical Supply Deal

Alston & Bird advised client PSS World Medical—which helps outfit stand-alone physician offices, labs, and elder care facilities with various supplies—on a $2.1 billion medical supply deal with McKesson. The offer price of $29 per share represents a premium of more than 34 percent of PSS’ share price at the close of trading.

The major health care deal was featured in The American Lawyer and Washington, D.C.-based partner David Brown, Jr. told the publication, “Alston first began working with PSS in the early 1990s, and since then has helped the company increase its national profile through a series of acquisitions…[the firm] has also advised on a range of other assignments for PSS, including Securities and Exchange Commission reporting, financial transactions, regulatory advice and the occasional litigation matter.”

Other team members working on the deal included Atlanta-based health care partner Steven Pottle; health care and M&A partner Sarah Ernst in Atlanta; health care and FDA regulatory partners Dawnmarie Matlock in Atlanta and Marc Scheineson in Washington, D.C.; benefits partners John Shannon and Blake MacKay in Atlanta; and Atlanta antitrust counsel Valarie Williams.
