The Effect of FIRRMA and CFIUS on Foreign Investment in the United States
The Foreign Investment Risk Review Modernization Act (FIRRMA) provides the Committee on Foreign Investment in the United States (CFIUS) modernized and broadened powers to review foreign investments in the U.S. for national security concerns. The national security landscape of the U.S. has evolved in recent years and so has the committee’s view of investments that pose risks to national security. Certain provisions of FIRRMA became effective upon signing on August 13, 2018, and through the Interim Rules and Pilot Program announced on October 10, 2018. Our speakers introduced CFIUS and its review process as well as the changes ushered in by FIRRMA and discuss the advent of mandatory CFIUS filing under the pilot program. And they provided practical tips and considerations for deal lawyers navigating transactions subject to CFIUS jurisdiction.
