- Represented a global business payments company in a shareholder action filed in Georgia state court. Shadowing a lawsuit brought by the Federal Trade Commission, the shareholders allege that certain company executives breached their fiduciary duties by causing the company to employ deceptive practices to maximize fee revenue in its North American fuel card business. We won the case on a motion to dismiss.
- Represented a special committee of the board of directors of Norfolk Southern on an internal investigation initiated in response to various shareholder derivative demands. The demands allege that the company’s directors and officers breached their fiduciary duties by failing to act in the best interests of the company and its shareholders in connection with a highly significant corporate event.
- Representing Humana Inc. in a putative shareholder class action filed in the District Court for Delaware, alleging that Defendants violated Sections 10(b) and 20(a) of the Securities Exchange Act by making materially false and misleading statements related to Medicare Advantage plans and the ratings by CMS.
- Representing a publicly traded company and its directors, officers, and financial advisors in M&A litigation matters alleging claims for breach of fiduciary duty and violations of the federal securities laws.
- Conducted an internal investigation of a national non-profit organization related to financial practices.
- Representing a private fund in various arbitrations regarding breaches of its operating agreement.
- Defended the chief executive officer of an international professional organization against claims for breach of fiduciary duty. The claims were ultimately dropped after an extensive internal investigation absolved our client of alleged misconduct.
- Served on the legal team representing a social media company in successfully enforcing the acquisition of the company. In this capacity, played a key role in managing third-party discovery, overseeing extensive document review projects.
- Obtained a favorable settlement for a developer in $2.5 billion dispute involving the acquisition of a private ski resort. Prior to settling the case, we succeeded on summary judgment.
- Defended a global communications corporation against alleged violations of the Securities Exchange Act related to a proposed merger. Following our team’s response to shareholder books and records demands, the merger proceeded as planned (E.D.N.Y).
