Porfiro Ramirez, Timothy Selby and Kevin Miller Join Alston & Bird

Alston & Bird LLP today announced that three new partners have joined their New York office, expanding the Financial Services and Products Group.

Porfirio “Pref” F. Ramirez, Jr was previously a partner at Arnold & Porter LLP.

Timothy P. Selby comes to the firm from Cadwalader, Wickersham & Taft LLP.

Kevin Miller will join the firm from Credit Suisse First Boston, where he is a Director and Counsel.

These new partners further demonstrate our commitment to broadening the Financial Services and Products practice of the firm, and expanding the corporate platform in our New York office,” said Ben Johnson, Alston & Bird’s managing partner. “These three additions provide us with additional significant experience in structured finance, domestic and offshore hedge fund formation and regulation, and capital markets, particularly mergers and acquisitions.”

Mr. Ramirez focuses his practice on international private financing transactions, particularly asset securitizations, structured and commercial finance, derivatives and related matters. In his practice, he has worked extensively with European and Latin American clients, including foreign governments. He received his J.D. in 1977 and his A.B. in 1974 from Harvard University.

Mr. Selby’s practice focuses on advising clients with respect to the structure, formation and management of domestic and offshore hedge funds and commodity pools, funds of funds, and private equity funds. He regularly advises clients with respect to compliance with the Securities Act of 1933, Securities Exchange Act of 1934, Commodity Exchange Act, Investment Advisers Act of 1940, exemptions from the Investment Company Act of 1940, and NFA and NASD rules. He received his B.B.A. and M.B.A. from Iona College and his J.D. from St. John’s University School of Law. He is also licensed in the State of New York as a Certified Public Accountant.

Mr. Miller currently serves as the head of the Investment Banking Division’s legal group for the Americas at CSFB and focuses on all aspects of public and private company mergers & acquisitions as well as public and private offerings of securities. He had previously worked in the M&A group at Sullivan & Cromwell, including two years in their London office. He serves on the NASD’s Corporate Financing Committee and is a member of the Association of the Bar of the City of New York’s Special Committee on Mergers and Acquisitions and Corporate Control Contests and the Advisory Board of DealLawyers.com and also participated in the Securities Industry Association, Capital Markets Committee’s – Fairness Opinion Task Force. He received his A.B. in 1981 and his M.A. (Economics) in 1985 from the University of Michigan, and his J.D. from Rutgers University School of Law in 1990.
