We also represent the company and its current and former directors and executive officers in related derivative actions.

We also represent the company and its current and former directors and executive officers in related shareholder derivative actions.
• Representing a Fortune 500 packaging solutions company and certain of its former executive officers in a putative securities class action filed in the Southern District of New York.
• Secured dismissal in a securities class action for a biomedical company in Georgia federal court.
• Represented a Fortune 500 manufacturing company in a securities class action and related shareholder derivative actions in federal court in Georgia, securing favorable settlements.
• Represented a company and its senior executives in an insider trading investigation by the U.S. Attorney’s Office for the Southern District of New York and the SEC.
• Represented companies and individuals in investigations by the SEC.
• Advised a financial services company’s board of directors during an internal investigation of Foreign Corrupt Practices Act violations, resulting in a management change.
• Secured dismissal of a national accounting firm in a lawsuit regarding a due diligence engagement for an acquisition.

Charlotte Bohn focuses her practice on securities law violations, defending public companies and their directors and officers in high-stakes securities litigation and shareholder disputes at every stage. Her practice encompasses securities fraud class actions, shareholder derivative litigation, SEC investigations, regulatory actions, and internal investigations involving accounting, disclosure, governance, and compliance issues. Stemming from her unique prior experience in enforcement and supervision at the Federal Deposit Insurance Corporation, Charlotte also counsels financial institutions and their boards on shareholder issues and regulatory matters.

Charlotte received her J.D. in 2017 from the University of Virginia School of Law, where she was on the editorial board of the Virginia Tax Review. She received her B.A., cum laude, from Clemson University, where she majored in political science.
