- Representing banks and non-bank aggregators, including mortgage conduits and broker dealers in an ongoing basis in all facets of structuring purchase, sale, servicing, whole loan trading, and RMBS programs, including, without limitation, negotiating mortgage loan purchase agreements, servicing agreements, custodial agreements, broker agreements, pooling, and servicing agreements and other similar types of agreements.
- Representing lenders, aggregators, and other investors in an ongoing basis in purchases and sales of mortgage servicing rights (MSR) portfolios (Fannie Mae, Freddie Mac, Ginnie Mae MSRs (including home equity conversion mortgages (HECM)), including negotiating MSR purchase, servicing, subservicing, co-branding, and recapture agreements.
- Representing non-bank mortgage investment companies and lenders in the purchase of HUD-held HECM loan and vacant property portfolios (for-profit and non-profit company acquisitions), including negotiating related asset manager and servicing arrangements.
- Representing bank and non-bank companies in structuring forward purchase commitments (flow and bulk) in connection with origination, purchase, aggregation, servicing, and re-sale of loans.
- Representing banks and non-banks in large divestitures of whole loan and mortgage servicing rights portfolios, including in connection with complex M&A transactions.
