Matthew Gauthier

• Representing major financial institutions as a trustee, securities administrator, and custodian in closing a broad range of public and private mortgage-backed and asset-backed securitization transactions.
• Representing a fintech company as the loan data agent on numerous RMBS and ABS securitizations, including student loans, consumer loans, and solar loans.
• Representing custodians in mortgage-loan warehousing and other custodial arrangements.
• Assisting with securitization transactions incorporating REMIC, grantor trust, and partnership tax structures, the use of derivatives and insurance, and the use of warehousing arrangements and funding facilities. 
• Representing a major financial institution as the trustee on a program involving the issuance of municipal certificates.
• Representing a major financial institution as the indenture trustee on agency-sponsored synthetic credit risk transfer transactions.
• Representing major financial institutions involving the administration of previously closed securitization transactions.
• Advising major financial institutions in annual and periodic filings with the SEC pursuant to the Securities Exchange Act of 1934.
• Representing third-party loan servicer providers, including loan agents and security trustees, in relation to their appointments in the UK, United States, and Europe.

Matt Gauthier is a senior associate on Alston & Bird’s Corporate Trust, Agency & Asset Servicing Team. He focuses his practice on major international and domestic financial institutions offering corporate trust services in capital markets transactions. He routinely represents master servicers, trustees, paying agents, securities administrators, escrow agents, and custodians on public and private RMBS and ABS transactions. Matt excels in cross-border structured and warehouse financing, with a focus on transactions spanning the United States, UK and Europe.

While Matt has closed several hundred transactions with his clients, of equal importance to his practice is his representation of clients in amendments, terminations, and other transaction administration matters. Matt also has experience in advising major financial institutions regarding SEC regulatory compliance, with a particular focus on Reg AB reporting and compliance with the Securities Exchange Act of 1934.

Before joining Alston & Bird, Matt practiced in the Global Finance Practice Group of an Am Law 50 firm focusing primarily on collateralized loan obligation securitization transactions. Matt received his J.D., with honors, from The University of North Carolina School of Law.
