• Advising publicly traded REITs on tax issues involving securities offerings, mergers, joint ventures, property contributions, and other similar transactions.  
• Advising on tax and corporate matters involving private REITs, including formation, structuring, operation, securities offerings, and stock sales.
• Advising on the formation of private real estate funds and related matters, including the structuring of joint ventures and co-investments.
• Advising on structuring and related matters of real estate joint ventures.

Raleigh Johnston focuses his practice on representing public and private companies, including REITs, in a variety of matters related to the tax and corporate structuring of investments in real estate. He advises clients on a wide range of U.S. federal income tax issues related to transactions involving REITs, corporations, partnerships, and limited liability companies. His practice includes regularly counseling clients in transactions involving joint ventures, fund formations, securities offerings, mergers and acquisitions, and real estate purchases and sales. He has a breadth of experience in advising clients on the tax and corporate aspects of investing in, acquiring, developing, selling, and leasing real estate assets.
