The lawsuit alleged that the defendants violated Sections 10(b) and 20(a) of the Securities Exchange Act by making materially false or misleading statements regarding the company’s Biologics License Application (BLA) to the FDA and its likelihood of approval.
- Represented a global fuel card payment provider in a shareholder action filed in Georgia state court, resulting in a successful motion to dismiss. Shadowing a lawsuit brought by the Federal Trade Commission, the shareholders alleged that certain company executives breached their fiduciary duties by causing the company to employ deceptive practices to maximize fee revenue.
- Represented the special committee of the board of directors of a Fortune 300 company in an internal investigation initiated in response to various shareholder derivative demands. The demands allege that the company’s director and officers breached their fiduciary duties by failing to act in the best interests of the company and its shareholders related to a highly significant corporate event.
- Represented a Georgia corporation in responding to alleged dissenting shareholders’ objections to a merger.
- Conducted an internal investigation in response to the threat of a shareholder derivative suit, which included reviewing over 29,000 documents and interviewing eight witnesses; drafted an internal investigation memorandum summarizing the investigation’s conclusions.
- Responded to a civil investigative demand related to wage-fixing antitrust violations in the chicken industry.
- Represented a government contractor in a False Claims Act case arising from a client purportedly unlawfully distributing over $200 million of Hurricane Katrina-related recovery funds, resulting in a favorable settlement.
- First-chaired six magistrate court bench trials on behalf of an automobile dealership—allegations included breach of contract and false advertising; obtained judgment in favor of the dealership in all cases.

Lex earned her J.D. from Vanderbilt University Law School. While earning her degree, Lex served as an articles editor for the Vanderbilt Journal of Transnational Law and clerked in the Office of the U.S. Attorney, Middle District of Tennessee. She earned her B.A., magna cum laude, from The Ohio State University in international studies, world economy & business.
