- Represented private equity investors in the acquisition of a loan originator partially financed by a syndicated loan facility secured by the originator’s substantial consumer loan portfolio.
- Represented a start-up in its inaugural issuance of publicly registered “paired” bonds trading on the NYSE and backed by derivative instruments that allocated assets among the paired bond holders based upon the performance of the S&P/Case-Shiller U.S. National Home Price Index.
- Represented a tobacco company in a private issuance of bonds secured by scheduled tobacco escrow releases under the Tobacco Master Settlement Agreement.
- Represented a placement agent in a refinancing of a landmark building in which a portion of the debt was issued in the form of several tranches of commercial mortgage-backed securities.
- Represented an underwriter in a publicly registered issuance of utility recovery bonds by an affiliate of an electric utility.
