Aidan Zafar

• Representing private equity sponsors in the formation, structuring, offering and operation of private investment funds including real estate, buyout, credit, debt, and other funds.
• Drafting and negotiating core fund documentation including limited partnership agreements, limited liability company agreements, side letters, private placement memoranda and subscription agreements.
• Led the execution of most-favored nations processes and coordinated with clients to manage investor rights across complex side letter arrangements.
• Advising clients on regulatory compliance matters, including SEC reporting and disclosure obligations, Investment Advisers Act considerations, and marketing regulations.

Aidan Zafar’s practice focuses on the formation, structuring, and operation of private investment funds, as well as sponsor-side transactions. He regularly advises private equity sponsors and asset managers on fundraises across a range of strategies, including buyout, real estate, credit, and opportunistic funds.

His work spans the full fund lifecycle, from structuring and offering through closing execution and ongoing governance matters. He also advises on joint ventures, secondary transactions, and other strategic sponsor initiatives.

Before joining Alston & Bird, Aidan practiced in the investment funds group of an Am Law 100 firm, where he focused on private fund formation and sponsor-side transactional work.
