Our corporate attorneys operate based on two fundamental principles: first, we seek to be facilitators rather than roadblocks; and second, we are there to protect the value of our client’s deal, not only by identifying issues and risks but by providing solutions. This philosophy enables us to provide highly effective representation on a no-nonsense basis.
We have 270 corporate attorneys who advise our clients in the areas of:
Mergers, acquisitions, dispositions and reorganizations - Our M&A attorneys have extensive experience advising clients engaged in a full range of domestic and cross-border public and private transactions, including acquisitions and divestitures, mergers, leveraged buyouts, going private transactions, strategic alliances and joint ventures. Our attorneys develop strategies for structuring and implementing transactions that are both innovative and practical.
Private Equity - We have an active team of lawyers who specialize in assisting private equity clients with all of their transactional needs. We represent private equity and venture capital funds, financial institutions and other private investors in all aspects of the investment cycle, including fund formation, early-stage venture capital investments, later-stage growth financings, going-private transactions and leveraged buyouts and recapitalizations. We also represent the portfolio companies of our private equity clients in a wide range of transactions, including add-on acquisitions, dispositions, recapitalizations and financings.
Public and private securities offerings - We have one of the most active and sophisticated securities practices in the United States. We represent issuers and underwriters in public and private securities transactions across a wide range of industries. We also represent nearly 100 public companies in connection with securities matters generally, providing them the most current advice on public disclosure and securities regulatory issues, as well as transactional structuring and implementation and corporate governance and general corporate matters. Our securities lawyers have a broad base of experience representing public company clients ranging from startups to Fortune 100 companies.
Global Strategies Group - We have a nonlegal consultancy integrated with the legal practices of Alston & Bird that operates at the nexus of global commerce and government regulation and offers a wealth of experience to corporate and sovereign clients on global trade; strategic investments and acquisitions; cross-border regulatory issues, including the negotiation of international trade and investment agreements; and global e-commerce matters for multinationals, investment funds and sovereign governments worldwide.
