We have an experienced team of lawyers who provide corporate trust and agency services in structured finance, corporate debt, project finance, syndicated lending, public finance, and other capital markets transactions. A key advantage we offer clients is our breadth of experience. Our attorneys work closely with members of other practice teams in the firm to provide a full array of legal services to our corporate trust clients.
Nationally recognized as one of the largest corporate trust legal service providers in the U.S., we have represented corporate trust clients in closing thousands of capital markets transactions. Our practice has extensive experience in a wide variety of product types, including structured finance (CMBS, RMBS, ABS, CDO, CLO, and REO), corporate debt, municipal debt, hedge funds, lending, and project finance. In addition to representing corporate trust clients in closing transactions, we regularly advise our clients on a wide variety of administrative, regulatory, and default issues, including tax, bankruptcy, litigation, and collateral liquidation.
Transaction Administration
We advise our clients in all aspects of transaction administration, including the distribution of funds in accordance with applicable cash flow provisions, the acquisition and disposition of collateral assets, and compliance with regulatory and reporting requirements. Our attorneys counsel clients on the requirements of the Trust Indenture Act of 1939, Sarbanes–Oxley Act, Regulation AB, Securities Exchange Act of 1934, and Internal Revenue Code. In addition, we actively counsel clients on the emerging regulatory environment, including Regulation AB II and the Dodd–Frank Wall Street Reform and Consumer Protection Act. Whether transaction administration issues are driven by regulatory and compliance concerns, collateral maintenance issues, or document interpretation issues, we have the knowledge to help our corporate trust clients carefully navigate any circumstance and fulfill their duties and obligations.
Corporate Trust, Agency & Asset Servicing
Financial institutions provide corporate trust, agency, and asset services in numerous financial markets, roles, and asset classes, and our interdisciplinary team is equipped to help with their varied legal needs. From transaction closing and administration to restructuring, insolvency, and business dispositions to regulatory compliance, litigation, or investigations, we provide comprehensive advice.
Defaults/Disputes
We also advise our clients on disputes and the administration of defaulted transactions. Our capabilities extend to all types of default scenarios, including those involving bankruptcy, litigation, and the exercise of remedies by trustees. Our bankruptcy and litigation practices focus on the representation of trustees and understand the issues and concerns trustees face in distressed transactions. We have represented corporate trust clients in complex bankruptcy and reorganization proceedings, including those involving Lehman Brothers, Capmark Financial Group Inc., and Delta Funding Corporation. In addition, our litigators regularly advise clients both before and after litigation in disputes involving issuers, bondholders, derivatives counterparties, and other transaction participants. We have been at the forefront of structured finance defaults and litigation following the financial crisis and have become one of the go-to legal service providers to securitized trust trustees in CDO litigation, the liquidation of CDO collateral, investor inquiries, RMBS servicer/originator bankruptcies, and RMBS mortgage loan “put-back” issues.
