Experience

• Represented an Atlanta-based specialty pharmaceutical company in its tender offer and acquisition of a biopharmaceutical company in a deal valued at $467 million.
• Represented a global private equity firm in the acquisition of a leading immunotherapy company from a subsidiary company of Johnson & Johnson.
• Served as counsel to a North Carolina private equity group to leverage acquisitions and recapitalizations of a number of their current portfolio companies, including a health and hospice software provider.
• Represented a North Carolina private equity group in the acquisition and subsequent disposition of a substantial minority equity position in a medical technology company, and the investment in and subsequent sale of a large dialysis service provider to a private investment firm for approximately $415 million.
• Represented a private equity firm in the leveraged acquisition of the nation’s largest health education TV network that delivers healthy lifestyle TV programming in physicians’ offices.
• Represented a Connecticut private equity firm in the acquisition of a premier provider of alternative-site health care services for children from an Alabama independent investment firm. 
• Represented the second-largest operator of adult day care services in the acquisition of a premier provider of adult day care services.
• Represented a private equity firm in numerous acquisitions of home health and hospice agencies.
