Alston & Bird’s interdisciplinary team of attorneys combine their extensive legal skills with in-depth business knowledge of the oil and gas industry to best serve our clients’ needs. We advise major oil companies, independent producers and refiners, natural gas and oil pipelines, storage terminal facilities, local distribution companies, trade associations, marketers, governmental joint action agencies and large purchasers across a broad range of U.S. and international commercial transactions, tax-exempt finance, regulatory proceedings and litigation.
Our robust team of energy, corporate, real estate, environmental, regulatory, tax and antitrust lawyers provide counsel on every aspect of the oil and gas supply chain, including upstream (exploration and production), midstream (transportation and storage) and downstream (distribution, fuels and lubricants, marketing and refining, retail and chemicals). Our upstream and midstream experience includes sales and exchange agreements, supply agreements, joint interest agreements and operation and maintenance agreements for gas facilities. Our downstream experience includes dealer and franchise issues. We serve as general counsel and tax-exempt bond counsel to the first and largest governmental joint action agency involved in the acquisition, management, financing and operation of natural gas and oil assets. We also have substantial experience with certification, permitting and environmental review for a variety of oil and natural gas projects, including LNG.
We frequently represent companies on mergers, acquisitions, divestitures, joint ventures, unitizations, project design, development and operations, financings, investments, environmental and regulatory matters, litigation and arbitration. We help clients structure and finance projects, including negotiating government agreements, as well as project and construction contracts; securing necessary permits and environmental compliance with applicable requirements, including the Clean Water Act and Clean Air Act; drafting transportation, storage and constituent services agreements; and managing lifting, terminaling and operating agreements. Our attorneys have also defended clients in litigation matters arising from the ownership, operation, production, sale or distribution of oil and gas, including property damage and personal injury/toxic tort claims filed in state and federal courts, as well as multidistrict litigation.
