John Harden

• Advising on M&A and corporate finance transactions, including platform acquisitions, add-on acquisitions, sell-side transactions, and equity and debt financing.
• Drafted tax related provisions of various corporate documents, including purchase agreements, financing agreements and term sheets, LOIs, and LLC, and partnership agreements for operating and holding companies.

John Harden is a senior associate in the Federal & International Tax Group. John has experience providing tax advice across a broad range of transactional matters for private equity clients as well as both public and private strategic clients. His practice primarily focuses on domestic and cross-border M&A, joint venture, and private transactions, including mergers, auction bid processes, leveraged buyouts, and carve-outs. He represents private equity firms and their portfolio companies, venture capital firms, as well as venture-capital backed and founder- and family-owned businesses across numerous industries.

John is recognized by The Best Lawyers in America© on its “Ones to Watch” list in the area of Tax Law. Before joining Alston & Bird, John refined his skills with M&A and corporate matters at firms in New York and Atlanta. He received an LL.M in taxation from the New York University School of Law and earned his J.D., cum laude, from Georgia State University. During law school, he was a legal intern for the Pro Bono Partnership of Atlanta. John completed his undergraduate degree at the College of Charleston where he was a member of the Men’s Tennis Team and Spanish National Honors Society.
