- Lightspeed Systems, a global leader in online security, safety, and educational technology management solutions, in its acquisition of CatchOn, a leading provider of learning analytics for schools, and STOPit Solutions, a pioneer in anonymous reporting and crisis management platforms.
- Unison Software and AEVEX Aerospace in connection with strategic acquisitions in the government software and services vertical.
- Represented Veritiv, a leading specialty distributor of value-added packaging, facility solutions and print products and solutions, in its $2.6 billion take-private acquisition by an affiliate of private equity firm Clayton, Dubilier & Rice LLC. Subsequently represented Veritiv in connection with multiple add-on acquisitions of packaging and fulfillment services businesses.
- Represented Unifeye Vision Partners, a leading network of comprehensive eye care providers and portfolio company of Waud Capital Partners, in multiple acquisitions of ophthalmology clinics, practices, and surgical centers.
- Represented N. Harris Computer Corp., subsidiary of Constellation Software, in its $700 million acquisition of Allscripts Healthcare Solutions’ Hospitals and Large Physician Practices business segment.
- Represented Builders FirstSource, a leading manufacturer and distributor of building products to professional homebuilders, in numerous strategic acquisitions across the U.S.
- Represented EDG Partners Fund II L.P. and its portfolio company, MMIS Inc. (dba MediSpend), in a majority investment from Susquehanna Growth Equity LLC.
- Represented New England Machinery Inc. (NEM), in the sale of the company to The Massman Companies, a portfolio company of Granite Partners.
- Represented Salvo Technologies Inc. and its shareholders in the recapitalization of the company by DBHCAP LLC and Tides Capital LLC.
- Represented Sentek Global Inc., a provider of engineering, cybersecurity, program support and other services to government customers, in the sale of substantially all of its assets to Deloitte Consulting LLP.
- Represented Fortress Investment Group and its affiliates as the successful bidder to acquire the assets of The Krystal Company in a 363 sale process.
- Represented Schweitzer-Mauduit International Inc., a leading global performance materials company, in its $155 million acquisition of Tekra LLC and Trient LLC, converters of high-performance films and substrates.
- Represented White Cap Supply Holdings, a portfolio company of Clayton, Dubilier & Rice LLC, in the sale of its Contractors’ Warehouse business.
- Represented Elsevier Inc., a subsidiary of RELX plc, in its acquisition of 100% of the stock of Authess Inc., a developer of software-as-a-service (SaaS) products in the field of job readiness and competency assessments.
- Represented Florida Turbine Technologies Inc. (FTT), a leading technology company and innovation leader in advanced turbine engines, in the $60 million sale of an 80.1% interest in the company to Kratos Defense & Security Solutions Inc., a leading national security solutions provider.
- Represented STS Aviation Group, a global aviation solutions company, in the sale of a majority interest in the company to Greenbriar Equity Group L.P.
- Represented a privately held leading restaurant franchisor in the negotiation of a complex master services agreement relationship with a publicly traded company for the provision of integrated facilities management services.
- Represented a private equity firm based in New York in multiple transactions, including the sale of its child development centers to a Virginia-based investment firm, its acquisition of a media company specializing in transit advertising, its acquisition of a Unified Communications as a Service (UCaaS) software provider by one of its portfolio companies, and another portfolio company’s combination with a rapidly growing e-discovery company.

Alison LeVasseur focuses her practice on M&A transactions, including leveraged buyouts, carve-outs, and growth equity investments, for private equity firms and their portfolio companies, founder-owned businesses, and public companies. Alison frequently represents clients in M&A transactions in the industrials, building products, aerospace and defense, technology, and health care sectors. Additionally, Alison counsels private equity and private credit clients on debt and equity financings and corporate governance matters. Alison also has significant non-M&A transactional experience, including advising clients on negotiating complex commercial contracts, joint ventures, and other strategic partnerships.
Alison was recognized in the 2022–2025 editions of The Best Lawyers in America® for her work in Corporate and Mergers & Acquisitions Law. In 2024, Alison received the Daily Report’s “On the Rise” award, which honors the Southeast’s most promising lawyers under the age of 40.
