Sarah McElroy

• Counsel to several of the largest regional and superregional banks headquartered in the Southeast, as well as various regional community banks.
• Counsel to issuers and underwriters in multiple public offerings of common stock, preferred stock and convertible securities.
• Counsel to multiple regional bank holding companies in connection with stock-for-stock and cash mergers and acquisitions, asset sales and branch sales.
• Counsel to boards of directors, board committees and executive officers on corporate governance matters, including compliance with the Dodd–Frank Act, the Sarbanes–Oxley Act and New York Stock Exchange and Nasdaq listing rules.

Sarah McElroy, an attorney in the Atlanta office, is a member of Alston & Bird’s Financial Services Group. Sarah concentrates her practice in representing public and private bank holding companies and other financial services companies in securities offerings and SEC reporting and compliance requirements, mergers and acquisitions and general corporate matters. She has also represented multiple companies in their mergers and acquisitions in transactions ranging from $4 million to $1.5 billion.

Sarah received her law degree in 2005 from the University of North Carolina at Chapel Hill School of Law, where she served as a senior staff member for the North Carolina Law Review. While visiting Emory University School of Law, she served as a student intern at the U.S. Securities and Exchange Commission Enforcement Division in Atlanta. Sarah graduated from Vanderbilt University in 1999 with a B.A., cum laude, in history (honors) and political science.
