• Represented a publicly traded hospitality company in connection with $300 million underwritten selling stockholders’ offering.
• Represented a publicly traded manufacturer of advanced engineered aerospace and defense components in connection with a financing transaction.
• Represented a leading, publicly traded global timeshare company in numerous 144A ABS notes offerings spanning over six years in the aggregate amount of over $5 billion.
• Represented the U.S. subsidiary of one of the largest Korean conglomerates in connection with its credit facility transaction.
• Represented a publicly traded hospitality company in numerous 144A senior notes offering transactions.
• Represented a publicly traded hospitality company in several underwritten selling stockholders’ offerings of their respective equity ownership totaling over $1.1 billion per stockholder.
• Represented Equity Office Properties Trust and EOP Operating Partnership in more than $10 billion of registered senior notes and equity offerings (including ATM programs).
• Represented various underwriters (including Goldman Sachs, JPMorgan, Merrill Lynch, Lehman, Citibank, Bank of America, and Credit Suisse) as designated underwriters’ counsel in registered senior notes and equity offerings by Equity Residential and ERP Operating Limited Partnership over a 15-year period having an aggregate amount of approximately $15 billion.
• Represented various underwriters (including Goldman Sachs, JPMorgan, Merrill Lynch, Lehman, Citibank, Bank of America, and Credit Suisse) in registered and 144A senior notes and equity offerings as designated underwriters’ counsel to various REITs, including SL Green, Liberty, Post Properties, Sovran Storage, Taubman Properties, Meridian Industrial Trust, and JDN Realty, in the aggregate amount of more than $15 billion.
• Represented various REIT issuer clients, including The Mills Corporation, Colonial Properties Trust, DuPont Fabros Technology, Federal Realty Investment Trust, and Extra Space Storage in connection with registered and 144A debt and equity offerings in the aggregate amount of more than $5 billion.
• Represented publicly traded companies in the managed health care, senior assisted living, ISP/technology, and other industries in IPO, 144A, secondary offering, selling stockholder, and other transactions.
• Represented a Connecticut-based hotel/casino in its $250 million 144A debt offering to finance its development.

M&A, Spin-offs, and Reorganizations

• Represented Hilton Grand Vacations in its $1.6 billion acquisition of Bluegreen Vacations Holding Corporation.
• Represented a publicly traded hospitality company in a joint venture with a nationally recognized, multibillion sporting goods retailer.

Alex Park represents public and private companies across various industries in capital markets, securities, M&A, spin-off, reorganization, roll-up, and other corporate and partnership transactions. He has served as counsel to more than 30 publicly traded real estate, hospitality & lodging, timeshare, technology, and other companies, as well as all major investment banks, in more than 100 public and private debt, equity, and preferred equity capital market transactions. Alex also represented both sellers and buyers in numerous public company and similarly sized M&A transactions.

He regularly advises boards, committees, and C-suite executives on general securities and day-to-day corporate governance matters. Alex is often sought by clients for his business and risk-adjusted counseling and to act as their outside general counsel to quarterback a multi-disciplinary and collaborative team of lawyers across numerous practice areas.

In 2018, Alex received NYU School of Law’s inaugural Grunin Prize for Law and Social Entrepreneurship for development of a new equity investment structure.
