• Advised on equity and debt offerings, including tender and exchange offers.
• Counseled on syndicated loans in leveraged buyouts.
• Represented the purchaser in a $12 billion acquisition of a U.S.-based health care company and advised on tax considerations with respect to structuring the acquisition.
• Counseled clients on M&A transactions in biotech, health care, equipment manufacturing, fashion, chemical products, and packaged foods industries.
• Advised institutional investors on tax considerations of investing in private equity funds.

Joon Yoo is an associate in the Federal & International Tax Group. He advises institutional investors, underwriters, investment funds, REITs, and SPACs on tax issues stemming from complex transactions. Joon’s transactional tax experience includes guiding clients through mergers and acquisitions, restructurings, equity and debt offerings, syndicated loans, and investing in private equity funds. He focuses his practice on tax planning and structuring for multinational businesses.

Before joining Alston & Bird, Joon honed his skills with financial and corporate transaction tax matters at two New York firms. Joon received an LL.M in taxation from the New York University School of Law. He earned his J.D., cum laude, from the University of Michigan Law School, where he served as an executive editor for the Michigan Journal of International Law. He was also an intern for the Securities and Exchange Commission’s Office of Credit Ratings.
