• Represented an anatomic pathology laboratory company in connection with its formation and initial capitalization and subsequent acquisition of several specialized laboratory companies. 
• Represented a private equity sponsor in its acquisition of a Canada-based global manufacturer of cable television equipment, and in the manufacturer’s subsequent add-on acquisition of an Israel-based R&D operation and supplier. 
• Represented a private equity sponsor in its acquisition of a leading ambulatory surgery center development and management company. 
• Represented a security systems integrator in connection with its formation, initial funding and subsequent roll-up transactions. 
• Represented a private equity sponsor in its acquisition of a leading provider of web-based home health and hospice management software. 
• Represented a private equity sponsor in its minority investment in a kidney dialysis operator as well as its subsequent majority recapitalization and ultimate disposition. 
• Represented a private equity sponsor in its acquisition of an outdoor sporting goods company and subsequent disposition to a private equity firm. 
• Represented a private equity sponsor in its acquisition of a provider of doctor waiting room programming from a large public company. 
• Represented a private equity sponsor in connection with the acquisition and disposition of an owner-operator of more than 50 radio stations. 
• Represented a private equity sponsor in its acquisition of a provider of fully integrated, cloud-based data and voice solutions to broadband providers in the United States, Canada, Latin America, the Caribbean and Brazil, as well as multiple add-on acquisitions and ultimate disposition. 

Lee Rimler is a member of the Corporate & Business Transactions Team. Lee has a broad-ranging corporate practice, focused primarily on mergers and acquisitions, private equity transactions and tax matters.

Lee represents public and private companies and investment funds in connection with negotiated acquisitions and dispositions in both distressed and traditional settings, including mergers, leveraged buyouts, recapitalizations, going-private transactions and the purchase and sale of securities, assets and business units.

Lee represents private equity sponsors in structuring acquisition and recapitalization transactions, as well as in acquisitions and dispositions involving their portfolio companies. He works extensively in structuring and forming limited liability companies and other alternative entities for use in private equity transactions, joint ventures and other complex business arrangements.

Additionally, Lee counsels management teams in structuring their “rollover equity” and forward-looking incentive compensation arrangements. He has also represented several founders in the sale and disposition of their private companies to private equity sponsors.
