- Represented a private medical device company that develops cardiovascular technologies, including heart valve replacement systems, in a $1.5 billion investment in its business by a large, publicly traded medical device company. The sophisticated, multiphase investment is a combination of a minority stake with a call option tied to clinical and regulatory milestones and up to $3 billion in additional payments for full ownership of the targeted business.
- Advising Welltower, an S&P 500 company, and one of the largest health care real estate companies.
- Advised on the acquisition of Sunrise Senior Living, Inc., valued at approximately $1.9 billion, by Welltower and the related sale of Sunrise’s management business to affiliates of Kohlberg, Kravis Roberts & Co. L.P., and other investors for approximately $130 million.
- Advised on mutually beneficial definitive agreements to dissolve its joint venture relationship with Revera across the U.S., UK, and Canada, which involved acquiring interests in 110 properties from Revera while simultaneously selling interest in 31 properties to Revera.
- Advised on the formation of a joint venture with Cindat Capital Management Limited and Union Life Insurance Co. Ltd to invest in a Welltower portfolio of seniors housing and long-term/post-acute care real estate assets valued at approximately $930 million.
- Counseled the purchase of a majority stake in a portfolio of seniors housing properties as part of a $555 million joint venture with Canada Pension Plan Investment Board (CPPIB), a global investment management organization that invests the assets of the Canada Pension Plan.
- Advised Gamma Biosciences – a life sciences tools platform company of KKR to address the advanced therapy bioprocessing market.
- Advised on an agreement with Merck KGaA, Darmstadt, Germany (XTRA:MRK) to sell Gamma’s operating company Mirus Bio for $600 million.
- Advised on the divestiture of its operating company, Univercells Technologies, a leading provider of novel biomanufacturing technologies for flexible and scalable advanced therapies and vaccine production, to Donaldson Company, Inc (NYSE: DCI).
- Represented GE HealthCare on a number of transactions across its imaging, diagnostics, life sciences, and information technology businesses.
- Advised on the sale of GE Healthcare’s entire U.S. radiopharmacy network to a privately owned nuclear medicine firm.
- Advised on a $587 million acquisition by tender offer of Clarient, Inc., a molecular diagnostics company.
- Advised on its purchase of API Healthcare, a health care workforce management software and analytics solutions provider.
- Advised on its joint venture with Microsoft Corporation - Caradigm - seeking to enable health systems and professionals to use real-time, organization-wide intelligence to improve health care quality and the patient experience.
- Counseled on the proposed spinoff from General Electric Company before the suspension of the transaction pending the sale of GE Healthcare’s biopharma business to Danaher.
- Advised on a proposed acquisition of the diagnostics and point-of-care businesses of Abbott Laboratories for $8.13 billion.
- Advised a medical equipment manufacturer on its expansion into interventional oncology through its acquisitions of a cryoablation and microwave ablation company; an embolic therapy company; and microsphere and bland embolic bead products.
