Alston & Bird Represents Graphic Packaging International in $500 Million Private Offering

Alston & Bird advised Americold on an underwritten public notes offering of $500 million of its 5.409% senior unsecured notes due September 12, 2034. Based in Atlanta, Americold is a global leader in temperature-controlled logistics, real estate, and value-added services.

Alston & Bird advised Graphic Packaging Holding Company on the sale of its bleached paperboard manufacturing facility in Augusta, Georgia, to Clearwater Paper Corporation. The transaction value is approximately $700 million.

Alston & Bird represented GMS, a leading North American specialty building products distributor, in its definitive agreement with The Home Depot, the world's largest home improvement retailer, to be acquired by its specialty trade distribution subsidiary, SRS Distribution, for a total value of $5.5 billion. The transaction is expected to be completed by January 31, 2026, pending customary closing conditions.

Alston & Bird advised Texas-based pawnbroker FirstCash Holdings and its UK subsidiary Chess Bidco on their £351 million acquisition of H & T Group, a leading publicly traded UK-based operator of pawn stores.

Alston & Bird represented the underwriters in The Coca-Cola Company’s public offering of $1 billion aggregate principal amount of its 5.000% notes due 2034, its $1.1 billion aggregate principal amount of its 5.300% notes due 2054, and $900 million aggregate principal amount of its 5.400% notes due 2064.
